This Addendum sets forth additional or amended terms and conditions for the use of the Third-Party Products listed or referenced in this Addendum, which are in addition to, and unless expressly provided to the contrary, without limitation of, the provisions in the Agreement. In the event of a direct conflict between this Addendum and the Agreement or any other document, the applicable portion of this Addendum will control.
Softrip may, from time to time, update this Addendum in its sole discretion. Such updated Addendum will go into effect immediately upon the earlier of, Customer’s receipt of notification of a change, or Customer’s continued use of the Third-Party Product. If Customer objects to any such update to this Addendum, Customer’s sole recourse, and Softrip’s sole liability, will be, following receipt of written notification from the Customer, to cease use of the applicable Third-Party Product(s) and all portions of the Platform or Connectors related to such Third-Party Products.

TPP-201 – Sabre Services
The following supplemental terms apply to the Third-Party Product identified by SKU number above and on the Order Form (“Sabre Services”) resold by Softrip but provided and delivered by Sable GLBL, Inc. and/or any of its affiliates (collectively, “Sabre”).
(a) Customer Agreement with Sabre. For the operation of the Sabre Services, Customer must have and maintain its own agreement with Sabre for access to and use of the Sabre Services (the “Customer-Sabre Agreement”). Nothing herein grants Customer any right to any Sabre Service. Customer will comply in all respects with the Customer-Sabre Agreement. Softrip is not the provider or reseller of any Sabre Services and Softrip makes no warranties, representations, indemnities, guarantees, or commitments to Customer of any kind with regards to the Sabre Services.
(b) Changes to Sabre Services. Sabre may modify the Sabre Services at its discretion from time to time, with or without notice. Modifications to the Sabre Services may cause the Sabre Services to cease some or all of its functionality, or require that Customer make changes to its own equipment or software for continued use of the Sabre Services, which will be at Customer’s sole cost and expense. Softrip will use reasonable efforts to re-establish operation of the Sabre Services following such a modification by Sabre, but cannot guarantee such continued operation. Customer may be required to pay Softrip for additional Services to restore functionality based upon any modifications to the Sabre Services.
(c) Sabre Fees. Sabre charges Softrip fees related to the Sabre Services, and those fees are subject to change by Sabre from time to time. Softrip may, in the future and from time to time, revise the fees payable by Customer to Softrip to pass through to Customer such fees charged by Sabre, including if and as such fees increase.
(d) Sabre Service Usage / Limitations. Customer will only use the Sabre Services to facilitate its tour operators’ shopping and booking of fares and inventory available through Sabre Services, and any other use is prohibited. Customer will comply with Sabre’s and Softrip’s reasonable instructions regarding proper use of and access to the Sabre Services and Sabre Services. Customer will not: (i) offer the Sabre Services or access to the Sabre Services to the public and may not make it available as a shopping service on the web; (ii) configure or modify the Platforms or Services (including the Sabre Services) in such a way that the Sabre Services would function in a manner inconsistent with the terms of this Agreement; (iii) use Platforms, Services, and Sabre Services in a manner other than as authorized in this Agreement or the Customer-Sabre Agreement, or for any other improper use; (iv) use the Sabre Services to develop any product or Platform; (v) permit or facilitate, and will use reasonable security to prevent, access to the Sabre Services by those who are not Authorized Users; (vi) reverse engineer, disassemble or decompile the Sabre Services; or (viii) use the Sabre Services or Sabre Services as a means of combining data and content obtained from Sabre with data and content from other global distribution systems or computer reservation systems.
(e) Termination.
(i) If Softrip or Sabre reasonably believes that Customer: (A) has used the Platform, Services, or Sabre Services for any unauthorized or improper use; (B) does not hold a valid license from Sabre to the Sabre Services; or (C) is using the Platforms, Services, or Sabre Services outside of the intended scope of use herein or in a manner that is otherwise a violation of this Agreement, the Customer-Sabre Agreement, or Softrip’s agreement with Sabre, Softrip may suspend or terminate Customer’s access to the Sabre Services upon notice to Customer and without liability.
(ii) If Sabre terminates Softrip’s rights to provide or make available the Sabre Services to Customer, Customer’s rights to use the Sabre Services will immediately terminate.
(iii) Upon termination of Customer’s right to use the Sabre Services for any reason, Customer will thereafter immediately cease using the Sabre Services and Customer will, or will allow Softrip to, de-install or otherwise disable use of the Sabre Services, including, if applicable, at all Customer locations.
(f) Tracking and Auditing. Upon request by Softrip, Customer will cooperate with Softrip to demonstrate any Sabre Services for Sabre. Customer agrees to maintain accurate and complete records relating to the use of the Sabre Services pursuant to this Agreement. Further, Customer acknowledges and agrees that Softrip will include in the Platform a unique identified as provided by Sabre in a manner directed by Sabre in each passenger name record (“PNR”) and allow Sabre to track and audit the number of PNRs, as well track and audit Supplemental Content Reservations created using the Sabre Services. “Supplemental Content” means fares or inventory available from sources other than through the Sabre Services, and “Supplemental Content Reservation” means a reservation for Supplemental Content that is created as a result of a Customer user either directly or indirectly utilizing the Sabre Services in a way that involves interfacing with the Sabre Services in any manner to facilitate shopping or booking Supplemental Content. A Supplemental Content Reservation also means a reservation that is made outside the Sabre Services that is then recorded in the Sabre Services by a user either directly or indirectly utilizing the Sabre Services.
The following terms and conditions of a Third-Party Product provider are listed below for informational purposes only and must be separately entered into between Customer and the Third-Party Product provider. Softrip does not guarantee the accuracy of the below links or that the versions noted below are the most current, and Customer remains responsible for reviewing such terms as are presented to it at the time of sign-up or renewal of the Third-Party Product, or as otherwise negotiated and agreed between Customer and the Third-Party Provider. In the event of any conflict between the terms below and those presented by the Third-Party Product provider, the terms agreed by Customer with the Third-Party Product provider will take precedence.
